Paralegal

We are seeking a proactive and detail-oriented Paralegal / Corporate Legal Specialist to join our Legal team in a dynamic, fast-paced environment at NASDAQ-listed company. This role will support the company’s strategic initiatives in legal, corporate governance, and compliance matters. This position will work closely with in-house counsel and cross-functional teams. The ideal candidate will have strong organizational and fast follow skills, legal research expertise, ability to handle multiple assignments simultaneously, and have proficiency in managing corporate records to ensure regulatory compliance and operational efficiency.

• Prepare, maintain, and revise the company’s corporate governing documents, including policies, standards, and procedures.
• Document existing practices and workflows.
• Develop and maintain processes to manage, track, and report on wide variety of Legal Department metrics, information and documents, working closely with attorneys and legal professionals.
• Assist in corporate governance activities, including preparing board and shareholder meeting materials, maintaining corporate records, and ensuring compliance with regulations.
• Maintain company’s Authorized Signatory List.
• Maintain the company’s corporate registrations.
• Manage due diligence requests both in the transactional context and for key existing relationships.
• Administrative duties as needed, calendar assistance.

• Bachelor’s degree or Paralegal Certificate.
• 3 plus years of corporate paralegal experience, preferably in a publicly traded company.
• Strong knowledge of corporate governance, contract law, and regulatory compliance.
• Experience with Legal Operations.
• Proficiency in Microsoft Office and legal research tools (e.g. Westlaw, LexisNexis)
• Experience in measuring and tracking legal dept metrics

Preferred:

• Experience with corporate entity management software (e.g. Diligent, hCue)
